 Directed, created, developed and implemented a reorganization accounting function plan for a diversified management company.  Process involved analyzing document workflow, evaluating and training personnel, hiring account management staff, revising the account tracking process, and converting system to new computer hardware.  RESULTS: Improved internal and external reporting, decreased monthly closing cycle by 10 days, established and refined cash management policies, and increased timeliness of payments to corporate vendors by 20%.

Directed extensive negotiations to restructure $23 million debt for a regional cable operator.  Process involved updating financial projections, lender negotiating including restructuring the finance term and interest rates, and collaborated legal documentation to finalize loan documents.  RESULTS: Significantly reduced current interest costs by 10%, increased management fees by 10%, increased incentive fees to owners to $250K, improved operations and facilitated cable properties sale.

Directed, developed and implemented cable system acquisition strategy for a regional communications firm.  Directed the acquisition, valuated property, participated in extensive negotiations of contracts and deal terms, completed due diligence, obtained $60 million in syndicated bank financing, and integrated property into the company's existing structure.  RESULTS: Strategically placed acquisition targets increased the company's subscriber.

Conceptualized private placement sale of regional cable company equity to an affiliate of an international telecommunications corporation.  Process included developing plan, selecting cable brokerage firm, researching financial and system operation information, negotiation, obtaining shareholder buy-in, and transaction closing.  RESULTS:  Reduce operation costs over 10% and increase system-operating margins by over 5%.

Vice President / Chief Financial Officer, Provion, LLC                                                                1999  - 2002

Co-founder of this computer services company providing network engineering and website development services for local and national companies.

·     Major role in growing this start-up from 0 to $1.5 million in annual revenue in just over one year, and grew staff to 15.

·     Formulated strategy for creating spin-offs and reorganized entity structures for the business functions of a computer service and consulting company.  Developed strategies and business models to develop new entities, supervised their creation, and provided leadership for several growing companies. 

Vice President / Chief Financial Officer, Beacon Financial Group, Inc.                                 1999  -2001

A subsidiary of the nation's third largest credit card processor.

·     Restructured all accounting, financial, and corporate administrative functions.

·     Closed a tax-free exchange of stock by converting current and prior years' accounting records, compiling GAAP financial statements, preparing due diligence documentation, developing business valuation models, and negotiating merger documentation.

·     Directed and coordinated a takeover of all accounting and operational functions of an e-commerce portal developer.  Negotiated employee separation agreements, relocated data center, terminated or renegotiated leases and business agreements.

·     Oversaw assumption of several software/data center vendor contracts for an Irish-American joint venture.  Transitioned all financial and accounting functions for two divisional entities to corporate office.

Vice President / Chief Financial Officer, Raystay Co./Waymaker Company                 1990 - 1999

 Raystay Co. - a regional multiple system cable operator with over 60,000 subscribers: Waymaker - a management company providing accounting, financial engineering, marketing, and operations support to cable system operators and other business entities, including a low power television station, a Jamaican hotel, a local business airport, and a property management firm.

·     Implemented business planning and budgeting process. 

·     Developed strong relationships with lenders, outside consultants, and shareholders.
